Video Contest

"The POWER of COLDFLEX" Video Contest (the “Contest”) begins July 1, 2010 at 12 a.m. Pacific Standard Time (“PST”), and ends on October 15, 2010 at 11:59 p.m. PST (the “Contest Period”).

Contest - Brief Overview:

BSI is giving away three (3) COLDFLEX Product prizes to three (3) lucky winners. To enter to win one (1) of the COLDFLEX prize packages, create and upload a unique video entry that shares funny, inspirational, educational, unique ways to use COLDFLEX, or a "feel good" story of how COLDFLEX helped you and/or your horse, dog, sheep... Choose any one of the above ideas or make up your own.

Have fun with your videos! Videos can be entered / uploaded between July 1, 2010 through August 31, 2010 and each contestant can enter up to three (3) unique videos but can win only one (1) prize package.

1. ELIGIBILITY: Subject to the terms and conditions described herein, any legal resident or citizen of the United States of America who as of the date of their submission (i) resides in the United States of America and (ii) is 18 years of age or older at the time of entry and (iii) has access to Internet access as of July 1, 2010 may participate in the Contest as a “Contestant”. A Contestant is sometimes referred to as “You” in these Official Rules. Contestants in the Contest are eligible to win by popular vote.

Additions on Eligibility:
Contestants who are also employees, officers or directors of Balance Systems, Inc. (BSI) a Oregon corporation (“Contest Administrator”), and its affiliates (“BSI Employees”), and the immediate family members, including spouses, domestic partners and parents, children and siblings and their spouses or domestic partners, regardless of where they live or members of the same households (whether related or not) of such individuals are not eligible to win.

All applicable federal, state, and local rules apply.

2. TO ENTER: To participate in the Contest, You must go to www.coldflex.com/contest and select the “Contests” tab to access the entry page. You must (a) accurately and fully complete the Contest entry information login form; (b) upload the video for which You intend to enter into the Contest; (c) submit a video between 30 seconds and 3 minutes in length (d) mention "where" You purchased / obtained COLDFLEX. (Name of catalog, retailer, etc.) (e) mention the name of "COLDFLEX" in the video with either your voice or written text and (f) Title the Video as "The Power of COLDFLEX" (Contestant can add additional text to the beginning or end of this phrase.)

A Contest entry shall consist of the completed Contest entry information form, together with the video you have submitted.

By entering the video in the Contest, You represent and warrant that (i) You own the rights to all images and music used in your video; (ii) the copyright if relevant, or (iii) if You do not own the copyright, You have authority to submit the video as an entry in the Contest and (iv) fully and completely comply with these Official Rules (v) grant permission, without limitation, for Contest Administrator or its affiliates to display online or otherwise the video you entered in the Contest, as part of the Balance Systems, Inc. “The POWER of COLDFLEX" Video Contest.

Only videos which Contest Administrator deems to be approved shall be eligible for the Contest. Contest Administrator, in its sole and absolute discretion, shall determine whether a video is an Approved "The Power of COLDFLEX ” video. Entries may not defame or invade the rights of publicity or privacy of any person, living or deceased, or otherwise infringe upon a person’s personal or proprietary rights. Any videos which Contest Administrator, in its sole and absolute discretion, judges to be immoral, obscene, profane or not in keeping with Contest Administrator’s image shall be disqualified. Contest Administrator reserves the right in its sole and absolute discretion to disqualify any entry at any time which, in the Contest Administrator’s opinion, endangers the safety or well being of any person or in the event it is determined that the Contestant has not complied with these Official Rules.

Except to notify Contestants that they are a winner, neither Contest Administrator, nor anyone acting on its behalf will enter into any communication with any Contestant regarding this Contest, nor will entries be acknowledged or returned.

3. VOTING: To vote in the Contest, visit www.coldflex.com and follow the links to the “The POWER of COLDFLEX” video contest between 12 a.m. PST on September 1, 2010, 11:59 p.m. PST through October 15, 2010 (“Voting Period”) and vote for the Approved "The POWER of COLDFLEX" video as presented on the site. A person is only allotted one vote per entry per day during the Voting Period. A person may submit a single vote for each entry each day. A person may vote for an unlimited amount of entries during the Voting Period.

4. VOTING RESULTS / SELECTION OF THREE (3) Winners: Each Contestant’s objective in the Contest is to obtain the most votes for his or her "The POWER of COLDFLEX" Video submitted during the Contest Period. The three Contestants with the highest number of votes during the Voting Period in accordance with these Official Rules shall be deemed the “Prize Winners.”

5. PRIZE: One (1) ‘First Place Prize Winner,’ one (1) ‘Second Place Prize Winner,’ one (1) ‘Third Place Prize Winner,’ and *five (5) "First five (5) " entry winners.

The First Place winner receives the First Place COLDFLEX Prize Packaged valued at $312.65.
The Second Place winner receives the COLDFLEX Prize Package valued at $100.90.
The Third Place winner receives the COLDFLEX prize package valued at $50.90.

*The first five (5) video entries that have been approved by Contest Administration and entered into "The POWER of COLDFLEX" video contest will receive a FREE COLDFLEX T-Shirt valued at $20.

PRIZE DETAIL HERE: The winner of First (1st) Place, Second (2nd) Place, Third (3rd) Place and the five (5) "first five (5) Entry winners, shall be mailed the contents of said specific COLDFLEX prize package via USPS Priority mail or FedEx Ground within 30-days of the contest end date of October 31, 2010.

All prizes properly claimed will be awarded. Prizes cannot be transferred, substituted or redeemed for cash, or used in conjunction with any other competition or offer. Contest Administrator reserves the right, in its sole discretion, to substitute and or modify a prize with a prize of equal or greater retail value if a prize is unavailable for any reason. Only one (1) prize is permitted per person and per family or household. Each potential winner may be required to provide his/her US Social Security Number for tax purposes as well as a valid government issued photo identification card.

6. WINNER NOTIFICATION: The winners will be determined by Contest Administrator in accordance with these Official Rules and notified on or about October 25, 2010. All decisions in all matters relating to the Contest made by Contest Administrator are final. Each winner will be notified by e-mail. If Contest Administrator, using commercially reasonable efforts, is unable to contact a potential winner within five (5) business days from the first contact attempt, or if a potential winner has not, or does not comply with these Official Rules, then such person shall be disqualified and an alternate winner may be selected in accordance with these Official Rules as determined in Contest Administrator’s sole discretion. Except for notifying a winner by email, Contest Administrator has no obligation to contact a winner by United States Mail or telephone, or to deliver a message by voicemail/answering machine, or otherwise.

7. GENERAL CONDITIONS: All taxes on prizes and all expenses related to acceptance and use of the prize not specified in these Official Rules are the sole responsibility of winner. By participating in this Contest, You agree: (a) to these Official Rules and decisions of Contest Administrator, which shall be final in all respects relating to the Contest; and (b) to release, waive, discharge, indemnify, defend and hold harmless Contest Administrator, their respective affiliates, officers, directors, shareholders, partnership, members, principals, employees, agents, contractors or suppliers from any and all injuries, liability, losses and damages of any kind arising out of or related to their participation in the Contest or their acceptance, use or misuse of a prize including, without limitation, personal injury, death and property damage, and claims based on publicity rights, copyright, trademark, defamation or invasion of privacy.

By participating in this Contest, You agree that if your entry is a winner or finalist, you shall (a) grant Contest Administrator a non-exclusive license to the reproduction and use of the entry for any purpose whatsoever without compensation or further permission, including but not limited to an irrevocable and perpetual, royalty-fee, worldwide right, in all media (now known or later developed) to assign, use, publish, edit, adapt, modify, alter, reproduce, distribute, broadcast, display, create derivative works or otherwise exploit entries, for commercial or non-commercial use; (b) to permit Contest Administrator, and their respective affiliates to use his or her name, photograph, likeness, Contest entry, biographical information, voice, voice likeness, and city and state address for advertising, publicity and promotional purposes in all media, including but not limited to within Contest Administrator’s website www.coldflex.com, in perpetuity, without compensation (unless prohibited by law) and further agrees to execute any specific consent needed or requested by Contest Administrator or its affiliates in furtherance of such use; and (c) not use the winning or finalist entries for any commercial purposes, or for submission into any other contest or as consideration in an agreement for prize for a period of two years.

Contest Administrator is not responsible for and shall not be liable for: (a) electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the processing of entries; (b) failed, incomplete, garbled or delayed computer transmissions; (c) late, lost, misdirected or incomplete entries; or (d) any condition caused by events beyond the control of the Contest Administrator that may cause the promotion to be disrupted or corrupted. Contest Administrator reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest or any portion thereof should viruses, bugs or other causes beyond the control of Contest Administrator corrupt the administration, security or proper play of the Contest, and limit entries to those submitted prior to the action taken, or to proceed in such a manner as may be deemed fair and equitable by Contest Administrator in its sole discretion and to award the prizes from all eligible entries received prior to such action taking place.

No prize transfer or cash redemption. No prize substitution, in whole or in part, except by Contest Administrator due to prize unavailability, safety or security considerations, or any other reason as solely determined by Contest Administrator in which case a prize of comparable or greater value will be awarded.

CAUTION: ANY ATTEMPT BY A CONTESTANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CONTEST ADMINISTRATOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Internet entry must be made by the Contestant only at the authorized web site address of www.coldflex.com or www.facebook.com/coldflex. Use of any device to automate entry is prohibited. Contest Administrator reserves the right in its sole discretion to disqualify any entry at any time in the event it is determined that the Contestant has not complied with these Official Rules.

8. WINNER LIST: To receive the winner’s names, send email to bsi @coldflex.com after October 31, 2010 with subject line" Coldflex Contest Winners".

9. GOVERNING LAW: The Contest and these Official Rules shall be construed in accordance with Oregon law.
